1. Introduction
NeoDex and its Affiliates (collectively, “we”, “our”, “us” or “NeoDex”) provide the following Terms of Use which, as may be modified from time to time
from time to time by NeoDex, in its sole discretion (the “Terms”), apply to our users (“you” or “User(s)”) and govern each user’s access to and use of NeoDex products and services , as well as such as our mobile and web-based applications,
our website(s), any software, programs, documentation, tools, hardware, Internet-based services, components and any updates (including software maintenance, service information, help content, bug fixes or maintenance releases ) provided to you by NeoDex, directly or indirectly, through our mobile application, our website or any other online services we provide (each a “Service” and collectively the “Services”).
PLEASE READ THESE TERMS CAREFULLY BEFORE USING OR CONTINUING TO USE ANY NEODEX SERVICE. THE TERMS INCLUDE IMPORTANT INFORMATION ABOUT YOUR RELATIONSHIP WITH NEODEX, INCLUDING BINDING ARBITRATION OF DISPUTES BETWEEN YOU AND NEODEX INSTEAD OF CLASS ACTION OR JURY TRIALS, AND COMPLIANCE WITH THE TERMS. BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO THE TERMS. IF YOU DO NOT AGREE WITH ANY PROVISION OF THESE TERMS, YOU MUST STOP USING THE SERVICES IMMEDIATELY. IN ADDITION, OUR PRIVACY POLICY
IT IS INCORPORATED INTO THE TERMS IN THEIR ENTIRETY. WE ENCOURAGE YOU TO READ THE TERMS CAREFULLY AND USE THEM TO MAKE INFORMED DECISIONS.
NEODEX IS A FINANCIAL SUPPORT TOOL USING ARTIFICIAL INTELLIGENCE FOR PROFIT ON DECENTRALIZED EXCHANGES ON THE POLYGON MAINNET NETWORK.
IMPORTANT NOTICE ABOUT HANDLING DIGITAL ASSETS
THE TREATMENT OF DIGITAL ASSETS IN YOUR NEODEX ACCOUNT MAY HAVE CHANGED DEPENDING ON THE JURISDICTION IN WHICH YOU RESIDE AND WHETHER THE CUSTODYNEODEX SERVICE IS AVAILABLE TO YOU. PLEASE READ THE FOLLOWING TERMS CAREFULLY TO UNDERSTAND THESE CHANGES AND MAKE INFORMED FINANCIAL DECISIONS.
TERMS APPLICABLE TO ALL USERS
IF YOU RESIDE IN AMERICA, EUROPE OR ASIA AND HAVE ACCESS TO THE NEODEX CUSTODY SERVICE THROUGH YOUR NEODEX ACCOUNT, ANY ELIGIBLE DIGITAL ASSETS TRANSFERRED TO YOUR NEODEX ACCOUNT ON OR AFTER THE MODIFICATION DATE WILL INITIALLY BE TRANSFERRED TO A CUSTODY WALLET AS PART OF THE SERVICE OF CUSTODY.
OPERATIONS
NEODEX HAS DEVELOPED AN ARTIFICIAL INTELLIGENCE THAT READS, IDENTIFIES AND EXECUTES DECENTRALIZED DIGITAL EXCHANGE OPERATIONS IN ORDER TO OBTAIN PROFITABILITY ON THESE MOVEMENTS. THE ENTIRE OPERATION IS CARRIED OUT WITHIN THE POLYGON MAINNET NETWORK, INCLUDING OBTAINING AN NFT (NON FUNGIBLE TOKEN) WHEN HIRING AN A.I. ROBOT PLAN.
Trading digital assets involves a high degree of risk. The digital asset market is new and unproven and may not grow. Digital assets may experience frequent price volatility due to
(i) the small use of digital assets in the retail and commercial market compared to the relatively large use by speculators and
(ii) lack of guarantee that a person or institution that accepts Digital Assets as payment today will continue to do so in the future. This price volatility can negatively affect a
investment in digital assets,
Therefore, before using NeoDex, evaluate the merits and risks of the investment and be able to bear the economic risk of losing your entire investment in a short period of time. In material about NeoDex it should be constructed as an offer to sell NeoDex or solicitation of any offer to purchase Digital Assets for NeoDex.
Definitions
Capitalized terms will have the meanings given to them in these Terms unless the context requires otherwise.
“Account” or “NeoDex Account” means a User’s designated user account on the NeoDex website or mobile application allowing a User to access and use the Services,
view the balance of User’s Eligible Digital Assets held in trust on User’s behalf or loaned by User to NeoDex, and any rewards earned on loaned Eligible Digital Assets, and manage User’s personal information and profile.
YOUR NEODEX ACCOUNT IS NOT A BANK, DEPOSIT, SAVINGS, CHECKING ACCOUNT OR ANY OTHER TYPE OF ASSET ACCOUNT AND SHOULD NOT BE CHARACTERIZED AS A BANKING PRODUCT OR SERVICE. THE USE OF TERMS SUCH AS “ACCOUNT”, “ACCOUNT BALANCE”, “DRAWAL” AND SIMILAR LANGUAGES IN CONNECTION WITH THE KOR SERVICE AND THE LOAN SERVICE DOES NOT IMPLY OR ESTABLISH, AND SHOULD NOT BE TAKEN TO SUGGEST, ANY FORM OF RELATIONSHIP OF CUSTODY, AND SUCH LANGUAGE IS USED HEREIN AS TERMS OF CONVENIENCE IN REFERENCE ONLY
THE LENDING OR LENDING OF DIGITAL ASSETS TO OR FROM NEODEX AS PART OF THE KOR SERVICE AND LENDING SERVICE, AND NEODEX’S OBLIGATION TO TRANSFER DIGITAL ASSETS TO USERS UPON THE TERMINATION OF SUCH LOANS OR REPAYMENT OF SUCH LOANS IN CONNECTION WITH THESE SERVICES.
“AML” stands for Anti-Money Laundering, which means a set of procedures, laws and regulations that aim to prevent the practice of generating income through illegal actions.
“Blockchain” means a system in which records of transactions carried out in Digital Assets are maintained on multiple computers that are linked in a peer-to-peer network.
“Custodial Wallet” means a Virtual Wallet where all Eligible Digital Assets held therein are custodial assets held by us or a third-party institution or other entity selected by NeoDex (a “Third-Party Custodian”).
“Digital Asset” means a digital representation of value where cryptography techniques are used to regulate the generation of digital units and verify the transfer of assets, operating independently of a central bank.
“Eligible Digital Assets” means the types of Digital Assets that we may choose to designate for inclusion in one or more Services from time to time, which are subject to change and/or limitations in our sole discretion based on business, regulatory and/or other considerations.
“Fiat” when used in reference to money or currency, means the currency and paper money of a country that is designated as legal tender, circulates, and is commonly used and accepted as a medium of exchange in the country of issue.
“KYC” stands for Know Your Customer (or Customer), which means the process of a company verifying the identity of its customers or clients and assessing the potential risks of illegal intent to the business relationship.
“Pegging” is the practice of pegging the exchange rate of one currency to the value of another currency or asset.
“Stablecoin” means a Digital Asset linked to a Fiat currency.
“Virtual Wallet” or “Virtual Wallet Address” means a virtual address on the
Blockchain on which digital assets can be held and transferred.
3. Eligibility and proof of identity
To use the Services, you must first register for a NeoDex account. To be eligible to access and use the Services, you must
(i) be eighteen (18) years of age or older,
(ii) have the legal capacity to enter into and be bound by these Terms,
(iii) comply with these Terms, and
(iv) register and maintain an active and valid NeoDex account. NeoDex is
is not obligated to accept any application from any applicant and has sole and absolute discretion to accept or reject requests to create NeoDex accounts.
The Services are not available where prohibited by law or NeoDex policy, as updated from time to time; These locations currently include, but are not necessarily limited to, the countries of Iran, North Korea, Sudan, South Sudan, Syria, Cuba or any other country against which the United States, the United Kingdom or the European Union impose sanctions . financing or embargoes.
Please be aware that in some jurisdictions, due to regulatory considerations, NeoDex may not provide part or all of the Services, which may include support for some Eligible Digital Assets or the CEL Token.
Due to changes in regulatory requirements and interpretations in the Digital Asset markets, NeoDex may use its sole and absolute discretion to, among other things, reject specific requests to open NeoDex Accounts, prohibit the use of part or all of the Services and/or or or close, freeze or suspend NeoDex Accounts, where NeoDex, in its sole and absolute discretion, determines what regulatory or political reasons prevent NeoDex from offering its Services.
NeoDex is subject to AML, KYC and sanction requirements under the Bank Secrecy Act (“BSA”), providing the appropriate tools necessary to intercept and obstruct terrorism (“U.S. PATRIOT Act”) and the Office of Foreign Assets Control (“OFAC” ).
Under applicable AML and OFAC rules, NeoDex is required to retain certain information about you, including user records and transaction history, for five years or longer as required by applicable laws. In certain circumstances, NeoDex is obliged to inform the authorities
any unusual transactions or any suspicion you may have that any User may be involved in any financial crime or illegal activity.
NeoDex is required to comply with applicable AML and KYC requirements before and after registering a NeoDex account. When you register for a NeoDex account, we will request documentation and information, including but not limited to copies of your government-issued identification (e.g. passport, driver’s license). For NeoDex corporate accounts, we may require identifying information relating to the company’s directors, officers, authorized representatives or stock owners. We may also collect and use information about you from third parties to help us confirm your identity,
carry out our AML/KYC checks and/or determine your access to the Services you represent and always ensure that any and all information provided by you to us is true, accurate and not misleading in any way. If any of this information changes.
User Identity Verification
Your registration for an account with NeoDex will be deemed your agreement to provide the personal information required for identity verification. This information will be used to verify the identity of Users, identify traces of money laundering, terrorist financing, fraud and other financial crimes through NeoDex, or for other legal purposes declared by NeoDex. We will collect, use and share this information in accordance with our Privacy Policy.
Privacy. In addition to providing this information, you agree to allow us to maintain a record of this information for as long as your account is active and within five (5) years after your account is terminated, in accordance with global industry standards on storage. Of data. You also authorize us to carry out necessary investigations, directly or through third parties, to verify your identity or protect you and/or us from financial crimes such as fraud. Information needed to verify your identity may include, but does not
limited to your name, email address, contact information, phone number, username, government ID, date of birth and other information collected during account registration. By providing the required information, you confirm that it is true and accurate.
AFTER REGISTRATION, YOU MUST ENSURE THAT THE INFORMATION IS TRUE, COMPLETE AND UPDATED ON TIME WHEN CHANGED. IF THERE IS ANY REASON TO BELIEVE THAT ANY INFORMATION PROVIDED IS INCORRECT, FALSE, OUT OF DATE OR INCOMPLETE, NeoDex RESERVES THE RIGHT TO SEND YOU A NOTICE TO DEMAND CORRECTION, DELETE
DIRECTLY RELEVANT INFORMATION AND, AS APPLICABLE, CANCEL ALL OR PART OF THE NeoDex SERVICES WE PROVIDE TO YOU. IF WE CANNOT CONTACT YOU WITH THE CONTACT INFORMATION PROVIDED, YOU WILL BE FULLY RESPONSIBLE FOR ANY LOSS OR EXPENSE CAUSED TO NeoDex WHEN USING THE NeoDex SERVICES. YOU ACKNOWLEDGE AND AGREE THAT YOU HAVE AN OBLIGATION TO UPDATE ALL INFORMATION IF THERE ARE ANY CHANGES. DIRECTLY OR THROUGH THIRD PARTIES, TO VERIFY YOUR IDENTITY OR PROTECT YOU, OTHER USERS AND/OR NeoDex FROM FRAUD OR OTHER FINANCIAL CRIMES, AND TO TAKE NECESSARY ACTIONS BASED ON THE RESULTS OF SUCH INVESTIGATIONS. YOU ALSO ACKNOWLEDGE AND AGREE THAT YOUR PERSONAL INFORMATION MAY BE DISCLOSED TO CREDIT AND FRAUD PREVENTION OR FINANCIAL CRIME PREVENTION AGENCIES, WHICH MAY RESPOND TO OUR INVESTIGATIONS IN FULL.
Account usage requirements
The NeoDex account can only be used by the account holder. NeoDex reserves the right to suspend, freeze or cancel the use of NeoDex accounts by persons other than the account registrant. If you suspect or become aware of any unauthorized use of your username and password, you must notify NeoDex immediately. NeoDex assumes no responsibility for any loss or damage arising from the use of the NeoDex account by you or any third party with or without your authorization.
You agree and understand that disclosing login information to third parties may defeat our user authentication measures and allow unauthorized access to your account. You agree that we shall not be liable for unauthorized access or other losses resulting from your disclosure or other transmission, intentional or inadvertent, of your login information to third parties.
You agree and understand that you are solely responsible (and will not hold us responsible) for managing and maintaining the security of your user account login credentials and any other necessary forms of authentication, including your API keys. You further agree and understand that we are not responsible (and you will not hold us liable) for any unauthorized access to or use of your User Account and/or your NeoDex Account.
You agree and understand that you are responsible for monitoring your User Account and your NeoDex Account. If you notice any unauthorized or suspicious activity on your account, including possible payments or ransomware transactions that may involve Sanctioned Persons, please email [email protected] or [email protected] and notify us immediately.
Account review and recognition
It is important that you understand that it is your sole responsibility to review your Transaction History and any notices. You also understand that for purposes of
review and confirmation, you agree to be deemed to have reviewed your Transaction History and all notices at least once a month. If for any reason you are unable to do so or do not receive communications from us, it is your responsibility to visit our Help Center and notify us immediately.
You understand that all communications sent to your registered email address will be deemed correct, approved and confirmed by you unless we receive written notice to the contrary within three calendar days from the date the communication is sent.
We reserve the right to make changes or adjustments to your Fiat Account and/or Digital Asset Account as necessary and appropriate, and in our sole discretion, to comply with any applicable laws and regulations or to ensure market integrity. See the ‘Wrong Orders’ and ‘Wrong Trades’ sections for more information.
Account Closure
You can close any of your accounts at any time. You agree and understand that termination of an Account will not affect any rights and obligations incurred prior to the Account Termination Date. You may be required to cancel or complete all open orders and, in accordance with the provisions of this User Agreement, provide transfer instructions on where to transfer any fiat currency and/or Digital Assets remaining in your account. You are responsible for any fees, costs, expenses, charges or obligations (including, but not limited to, legal and legal fees or costs of transferring fiat currency or (Digital Assets) associated with closing your account. If the costs of closing your account exceed the amount in your account, you will be responsible for reimbursing us.
Account Suspension
You agree and understand that we have the right to
(i) immediately suspend your account and all accounts owned by you and any members of your family or for which you are a representative or authorized signatory and, in the case of entities, any affiliates (each, a “Related Account”),
(ii) freeze/lock the funds and assets in all such accounts and
(iii) suspend your access to NeoDex, until a determination is made, if we suspect, in our sole discretion, that you and/or any of these accounts violate:
- Any provision of this User Agreement;
- Any Applicable Laws or Regulations;
- Our BSA/AML Program; or
- Our Marketplace Rules of Conduct,
at any time from the opening of such an account or Related Account (each, a “Breach of Conduct”).
You also agree and understand that we have the right to immediately
(i) suspend your account and any Related Account,
(ii) freeze/lock the funds and assets in all such accounts and seek to recover additional funds in the event that the funds and assets in your accounts are insufficient to cover NeoDex’s losses, and
(iii) suspend your access to NeoDex until a determination is made, if:
- We are required to do so by a regulatory authority, court order, valid in-person subpoena or binding order of a government authority;
- The account is or is related to any account that is the subject of any pending litigation, investigation or government proceeding;
- The account has a negative balance for any reason;
The account has a balance that needs to be reconciled for any reason; - Your ACH deposit has been returned to your bank;
- We believe someone is trying to gain unauthorized access to the account;
- We believe there is unusual activity on the account;
- We believe your account has been used to send or receive ransomware payments;
- We believe that you are using NeoDex, your login credentials or other account information in an unauthorized or inappropriate manner;
- The account is being accessed from a jurisdiction where we do not offer NeoDex services; or
- The account has not been accessed in two years or more.
If your account has been suspended, you will be notified when you access NeoDex. We may, in our sole discretion, notify you in writing that your account has been suspended and we may, in our sole discretion, disclose the reasons for the suspension, if permitted by law.
Account investigations
You agree and understand that we have the right to immediately investigate your account and any Related Account if we suspect, in our sole discretion, that you and/or any account has committed a Violation of Conduct or is engaged in Prohibited Use or suspicious activity. You also agree and understand that we have the right to immediately investigate your account and any Related Accounts if:

We are required to do so by a regulatory authority, court order, valid face subpoena or binding order from a governmental authority;

The account is or is related to any account that is subject to any pending litigation, investigation or government proceeding?

The account is or is related to any account owned by a Sanctioned Person;
-
The account was used to facilitate a ransomware payment;
-
The account has not been accessed in two years or more.
We may, in our sole discretion, provide Written Notice that your account is subject of an investigation and we may, in our sole discretion, share the general nature of the investigation, if permitted by law.
If we suspect that an account has committed a Violation of Conduct that pertains to our Marketplace Rules of Conduct, we will notify you in writing and share the general nature of the allegations, as well as the specific provisions of our Marketplace Rules of Conduct that appear to have been violated. You will have the right to submit, within seven calendar days from the date of notification, a written statement to our Chief Compliance Officer (“CCO”) explaining why no disciplinary action should be taken.
You agree and understand that, upon our request and within the time period designated by us, you and any related party are obligated to respond to any written inquiries and provide any documentary materials and other information relating to any investigation initiated pursuant to this User Agreement. . You agree and understand that neither you nor any related party shall impede or delay any investigation or proceeding conducted pursuant to this User Agreement, nor refuse to comply with any request made pursuant to this User Agreement.
Upon completion of an investigation, our CCO will, in its sole discretion, make a determination based on the weight of evidence. If a suspected Conduct Violation
belongs to our Marketplace Rules of Conduct, our CCO may consider several factors to assess whether your conduct violated our Marketplace Rules of Conduct.
Third Party Sites Disclaimer.
Any links to third-party NeoDex service sites do not imply endorsement by NeoDex of any product, service, information or disclaimer presented therein, nor does NeoDex guarantee the accuracy of the information contained therein. If you suffer losses when using third-party products and services, NeoDex will not be responsible for such losses. Additionally, because NeoDex has no control over the terms of use or privacy policies of third-party sites, you should read and understand those policies carefully.
Assignment
These Terms, or any of the rights and/or obligations set forth herein, may not be assigned or transferred by you to any other person or Entity, whether by operation of law or otherwise, without the express written consent of NeoDex, and Any attempted assignment in violation of this prohibition will be null and void ab initio and void. NeoDex may assign or transfer these Terms and/or any or all of its rights and/or obligations hereunder at any time to any NeoDex Affiliate, with or without notice. NeoDex may assign or transfer these Terms and/or any or all of its rights and/or obligations hereunder at any time to any third party upon notice. Any permitted assignment or transfer of or under these Terms will be binding on and inure to the benefit of the successors, executors, heirs,
